Pretty darn good movie.
It tells a story as well as the first one, and relys slightly less on the special effects. (Although they are still prominent in the show, there is more going on than just that.)
The Spider-man computer generated images are MUCH better in this movie. They are sharper and clearer, and look more like a 3-d person who has weight, swinging around Manhattan.
The movie got momentarily slow in two scenes. One scene in the elevator was amusing, put it slowed the movie. That scene lasted maybe 2 minutes. No big deal. The other lasted maybe 3 - 5 minutes, and was sort of a 70s montage style thing. It too was funny, and conveyed meaning to the film, but just a little slow. I think that could have been done better.
The writers saw fit to give cameo appaerances to 2 additional villans, "before they were villans". That was kind of neat, but you may have to be familiar with the comic to notice them, and I may not know all of them either.
IMO- It is a good one to see on the big screen.
